Course Terms and Conditions

Confidentiality, Intellectual Property, No-Recording, CPE, and Registration Terms

 These Course Terms & Conditions ("Agreement") govern participation in any training, workshop, webinar, or educational course (each, a "Course") offered by Edgefield Group LLC, a California limited liability company ("Edgefield,"  "we," or "us").  This Agreement is between Edgefield and the individual registering for or attending a Course ("Participant," "you"). This Agreement governs Participants who register for a Course through Edgefield's public checkout. A Participant registered under an active firm-level agreement between Edgefield and their employer is instead governed by that agreement, notwithstanding any separate employment relationship the Participant may have with a client firm.

Effective Date and Prior Registrations. This Agreement is effective as of July 1, 2026. Participants who registered for a Course prior to the Effective Date are governed by the terms in effect at the time of their registration, if any, and are not retroactively bound by this Agreement. Edgefield will provide a one-time courtesy notice to such Participants describing the updated Agreement in advance of their scheduled Course. Registrations made on or after the Effective Date are bound by this Agreement.

By registering for and/or attending a Course on or after the Effective Date, you accept and agree to be bound by this Agreement. Acceptance is effected by checking the acknowledgment box at registration checkout, which constitutes an electronic signature under the E-SIGN Act and applicable state UETA. Edgefield may refuse entry or access to any registrant who has not accepted this Agreement.

 1. Definitions
‍
➤ "Course Materials"
means all slides, workbooks, templates, scripts, exercises, software, prompts, frameworks, and other content presented, distributed, or made accessible during a Course, in any format.

➤ "Session Recording" means any audio, video, screen-capture, transcript, or other reproduction of a live or recorded Course session, in whole or in part.
‍
➤ "AI Notetaking Tool" means any bot, plug-in, browser extension, or software agent that joins, listens to, transcribes, summarizes, or otherwise records a Course session, including (without limitation) tools such as Otter.ai, Fireflies, Fathom, Grain, Read.ai, tl;dv, Granola, Krisp Meeting Notes, Zoom AI Companion, Google Meet Gemini/Duet.

2. Confidentiality and Ownership of Course Materials

‍
Course Materials are the confidential and proprietary property of Edgefield (or its licensors) and are provided to Participants solely for personal, non-commercial use in connection with attending the Course.

Participants may not, without Edgefield's prior written consent:

➤ Copy, reproduce, distribute, publish, sell, license, or otherwise share Course Materials or Session Recordings with any third party;
‍
➤ Use Course Materials, Session Recordings, or any transcript derived from them to train, fine-tune, evaluate, or otherwise build any artificial intelligence or machine learning model, AI agent, chatbot, or automated tool;

➤ Use Course Materials, Session Recordings, or transcripts to build or populate any knowledge base, retrieval system, dataset, or other derivative work product intended for use outside the Course; or
‍
➤ Create derivative works based on Course Materials for commercial or competitive purposes.

This restriction applies regardless of whether the Course Materials or Session Recordings were obtained directly from Edgefield, indirectly through another Participant, or through any other means.
‍
Session Recording Access. Where Session Recordings are made available to enrolled Participants (for example, for review during the Course or catch-up for a missed session), access is limited to the duration of the Course and terminates upon Course completion. Edgefield may, in its sole discretion, provide Session Recording access to individual Participants who miss a session for a documented reason (including planned time off, illness, technical failure on the Participant's end, or a client-specific accommodation). Any such access remains subject to all restrictions in this Section 2. Downloading, retention, redistribution, or reproduction of any Session Recording is prohibited.

3. Recording and AI Notetaking Prohibition

‍
No Participant may record, capture, transcribe, or archive any portion of a Course — by any means, including personal audio/video recorders, voice memos, phone-based audio recording applications, screen-capture or screen-sharing software, phone cameras, wearable devices, smart glasses, smart pens, browser recording extensions, or AI Notetaking Tools — without Edgefield's express prior written consent.

This prohibition specifically includes AI Notetaking Tools. Whether or not such a tool discloses itself as an "attendee" or otherwise appears on a participant list, its use to listen to, transcribe, or summarize a Course session is prohibited under this Agreement absent Edgefield's express prior written consent.

Edgefield reserves the right, at its sole discretion, to identify and remove any recording device, AI Notetaking Tool, or bot from a live session, and to remove the associated Participant from the Course session or virtual meeting, without refund, if it reasonably believes this Section has been violated.

‍4. Consequences of Breach

‍
A breach of Sections 2 or 3 is a material breach of this Agreement. In addition to any other remedies available at law or in equity, Edgefield may, without prior notice:

➤ Immediately remove the Participant from the Course session or virtual meeting;
‍
➤ Suspend or terminate the Participant's access to the Course and any related materials or platforms, without refund;

➤ Deny the Participant's registration for future Courses; and

➤ Pursue injunctive relief and damages, including reasonable attorneys' fees, arising from unauthorized recording, disclosure, or use of Course Materials, Session Recordings, or any derivative work product.

The Participant acknowledges that unauthorized use of Course Materials to build competing products, AI models, or knowledge bases may cause irreparable harm to Edgefield for which monetary damages alone would be an inadequate remedy.
‍

‍5. Continuing Professional Education (CPE) Credit

Where a Course is designated CPE-eligible, credit is issued by The Growth Partnership Acquisition Company, LLC (doing business as "The Growth Partnership" and referred to herein as "TGP"), Edgefield's NASBA-registered CPE sponsor partner. CPE certificates are issued in the name of, and bear the name and logo of, The Growth Partnership as the sponsor of record. CPE credits are earned per session attended, subject to attendance and polling-engagement requirements delivered during each session.

CPE certificates are issued in the name of the enrolled Participant only and are non-transferable.

Acceptance of TGP-issued CPE credits by any specific state board of accountancy is subject to that board's requirements. Edgefield and TGP make no representation that credits will satisfy any specific licensee's individual CPE requirements. Participants are responsible for confirming acceptance with their applicable state board.

Complaints regarding CPE administration may be submitted to hello@edgefieldgroup.co and will be handled in accordance with NASBA's Statement on Standards for CPE Programs.
‍

‍6. Cancellation, Refunds, and Substitutions

Participant Cancellation. Participants may cancel a registration and receive a full refund up to fourteen (14) days before the first scheduled Course session.

‍Late Cancellation (within 14 days of first session). Cancellations within fourteen (14) days of the first scheduled Course session are subject to a non-refundable administrative fee equal to twenty-five percent (25%) of the registration price paid. The remaining seventy-five percent (75%) is issued as a credit (not a cash refund) toward a future public cohort of the same Course, to be redeemed within twelve (12) months of the original registration date, subject to availability. Credits not redeemed within that twelve-month period are forfeited.

No Refund or Transfer After Course Begins. Once the Participant has attended, or was scheduled to attend, the first Course session, no refund, credit, or transfer is available regardless of subsequent attendance.

No Refund for Partial Attendance. No refunds are issued for missed sessions or partial attendance.

Substitution. One-time substitution of a different individual as the Participant is permitted up to forty-eight (48) hours before the first session, subject to Edgefield's confirmation. Substituted Participants must independently accept this Agreement.

Cancellation by Edgefield. If Edgefield cancels a Course, affected Participants receive, at their option, a full refund or a credit toward a future Course of equal value.
‍

 7. Participant Data

By registering, Participant consents to Edgefield's sharing of Participant's name, email address, firm affiliation, attendance records, and polling data with TGP solely for the purpose of CPE certificate issuance and NASBA audit response. TGP is contractually restricted from using this data for marketing, prospecting, list enrichment, or any purpose other than CPE administration.

Records are retained by Edgefield and TGP for five (5) years following the date CPE credit is issued, as required by NASBA.

8. Disclaimer and Limitation of Liability
‍
‍
Courses are provided "as is" for general educational purposes and do not constitute legal, tax, or professional advice specific to the Participant's circumstances. CPE credit issuance is not guaranteed and depends on satisfaction of attendance and engagement requirements. Individual state board acceptance of credits is outside Edgefield's control. To the maximum extent permitted by law, Edgefield's aggregate liability arising out of or related to a Course shall not exceed the fees paid by the Participant for that Course.

‍9. General Provisions

‍Governing Law and Venue. This Agreement is governed by the laws of the State of California, without regard to conflict-of-laws principles. Exclusive venue for any dispute arising out of or relating to this Agreement shall lie in the state or federal courts located in San Francisco County, California, and the parties consent to the personal jurisdiction of those courts.

Assignment.
Participant may not assign, transfer, resell, or share this Agreement or the right to attend a Course, except as expressly permitted under Section 6 (Substitutions). Any attempted assignment in violation of this Section is void.

‍Authority. If Participant is registering using employer funds or on behalf of an entity, Participant represents that they have authority to bind that entity to this Agreement.

‍Force Majeure. Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including acts of God, government action, network or platform outage (including Microsoft Teams), labor disruption, pandemic, or public health emergency. If such an event materially affects Course delivery, Edgefield will use commercially reasonable efforts to reschedule affected sessions.

‍Survival. Sections 2 (Confidentiality and Ownership of Course Materials), 3 (Recording and AI Notetaking Prohibition), 4 (Consequences of Breach), 7 (Participant Data), and 9 (Governing Law, Assignment, Limitation of Liability) survive completion, cancellation, or termination of the Course.

‍Severability. If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force and effect.

Entire Agreement.
For public and individual Participants, this Agreement constitutes the entire agreement between the Participant and Edgefield regarding confidentiality, intellectual property, CPE administration, cancellation and refund policy, and recording of the Course, and supersedes any prior understandings on those subjects.

‍10. Acknowledgment and Acceptance

By checking the acknowledgment box at registration checkout, accessing, or attending a Course, the Participant acknowledges that they have read, understood, and agree to be bound by this Agreement.
